What is a PSC?
A Person with Significant Control is anyone who owns more than 25% of a UK company's shares or voting rights, has the right to appoint or remove a majority of the board, or otherwise exercises significant influence. UK companies are required to keep this register accurate and file changes with Companies House.
Red flags
- · "No PSC" statement on an operating trading company
- · Layered offshore corporate PSCs with no natural person
- · Very recent PSC changes just before a large transaction
- · PSCs based in high-risk or FATF-listed jurisdictions
